Terms and Conditions
Terms for COIS Web Development.
Last updated: 23 October 2026
1. About these terms
These terms apply when you use cois.co.za or buy any service from Francois Badenhorst t/a COIS Web Development (“COIS”, “we”, “us”). By accepting a quote, signing up for a package or paying an invoice, you agree to these terms. If a signed quote or service agreement says something different, the signed document applies for that point.
2. Our services
We offer:
- Website design, hosting and care on monthly packages
- E-commerce websites
- App development
- AI consulting
- Brand and corporate identity
- Cyber security assessments and related services
- IT support
What is included in each service is set out on our website, in your quote or in your service agreement.
2.1 Monthly website packages
Our monthly packages include the website build, hosting, domain registration and annual renewals, business mailboxes, an SSL certificate, backups, updates and ongoing security maintenance, as described on our pricing page. Current prices, setup fees and inclusions are shown there.
Monthly packages have no fixed contract and no minimum term. They continue month to month until you or we cancel under section 9.
2.2 Project work
Custom projects, such as app development, e-commerce builds outside a package, branding, AI consulting and cyber security work, are priced on a written quote based on the agreed scope.
2.3 Cyber security work
We only carry out security testing, including penetration testing, with your written permission and under a written scope. You must own the systems being tested or be authorised to give that permission. An assessment reviews your systems at a point in time. It cannot find every weakness and does not guarantee that your systems are secure.
3. Quotes
Quotes are valid for 30 days unless the quote says otherwise. Quoted project work needs a 50% deposit before we start, with the balance payable on completion, before go-live. Work outside the agreed scope is quoted separately, and we will not start it without your approval.
4. Billing and payment
4.1 Monthly billing
Monthly packages are billed in advance each month. Any setup fee is billed with the first month.
4.2 Project billing
Project work may need a deposit before we start, as set out in your quote. The balance is payable as stated in the quote.
4.3 Payment terms
Monthly fees are payable in advance and are due no later than the 5th of each month. We ask that you pay before the last day of the previous month where possible. Prices are in South African rand. COIS Web Development is not registered for VAT, so no VAT is charged.
4.4 Late payment
If an invoice is unpaid after its due date, we may:
- charge interest on the overdue amount at the prescribed rate of interest under the Prescribed Rate of Interest Act;
- suspend services, including hosting and email, after giving you 14 days’ written notice; and
- recover reasonable collection costs.
We will restore suspended services once the account is paid up.
4.5 Price changes
We may change monthly package prices by giving you at least 14 days’ written notice. If you do not accept the new price, you may cancel before it takes effect.
5. Your content and intellectual property
5.1 Your content
You keep ownership of the content you give us, such as text, images, logos and product information. You give us permission to use it to provide our services. You confirm that you have the right to use that content and that it does not break any law or anyone else’s rights.
5.2 Project work
For quoted project work, such as brand and corporate identity work, custom websites and apps, ownership of the final deliverables passes to you once you have paid in full. Until then, they remain ours.
5.3 Websites on monthly packages
On monthly packages, COIS Web Development builds, owns and maintains the website. Your content remains yours.
5.4 Third-party items
Some work includes third-party software, fonts, images or tools. These stay subject to their own licences and are not owned by you or by us.
5.5 Our portfolio
Unless you ask us not to in writing, we may show completed work in our portfolio.
6. Hosting and availability
We use reasonable efforts to keep hosted websites and email available. We do not guarantee uninterrupted service. Outages can happen because of maintenance, our hosting providers, network problems, attacks or events beyond our control. Where we can, we will give notice of planned maintenance.
We make regular backups as part of our packages. We recommend that you also keep your own copies of important content and email.
7. Support
Support is provided as described on our website for your package. Response times are our targets for answering a request. They are not resolution times, and they are not a guarantee.
8. Your responsibilities
You agree to:
- give us accurate information, content and approvals on time;
- keep your passwords and login details safe and tell us promptly about any suspected misuse;
- use our services lawfully, and not use them for spam, malware, illegal content or anything that infringes others’ rights;
- make sure your website meets the laws that apply to your business, including the Protection of Personal Information Act (POPIA) and the Consumer Protection Act (CPA); and
- keep your contact and billing details up to date.
Delays in your content or approvals may delay delivery. We may suspend a service that is being used unlawfully or that puts our systems or other clients at risk.
9. Cancellation and notice
9.1 Monthly packages
You may cancel a monthly package at any time by giving 30 days’ written notice. There is no cancellation fee. Fees paid for the current month are not refunded.
9.2 Project work
If you cancel project work, you must pay for work done up to the cancellation date, plus any costs we have already incurred. Deposits are non-refundable once work has started.
9.3 Cancellation by us
We may end a service by giving 30 days’ written notice. We may end it immediately if you seriously breach these terms and do not fix the breach within 14 days of written notice.
9.4 Cooling-off period
If you entered into an agreement with us as a result of direct marketing, you may cancel it in writing within 5 business days of the agreement or delivery, without reason or penalty, under section 16 of the CPA. Under section 44 of the Electronic Communications and Transactions Act (ECT Act), where it applies to an electronic transaction, you may cancel within 7 days without reason or penalty. You will pay only the direct cost of returning any goods. These cooling-off rights do not apply to services that have already begun with your consent, where the law allows that exception.
10. Consumer Protection Act
If you are a consumer as defined in the CPA, nothing in these terms limits your rights under the CPA. Where a term conflicts with the CPA, the CPA applies. Many business clients are not covered by the CPA, for example juristic persons whose asset value or annual turnover is at or above the threshold set by the Minister.
11. Limitation of liability
As far as the law allows:
- we are not liable for indirect or consequential loss, including loss of profit, revenue, data or business opportunity;
- we are not liable for loss caused by third-party services, hosting providers, cyber attacks, your own actions, or events beyond our reasonable control; and
- our total liability for any claim is limited to the fees you paid us for the affected service in the month before the claim arose (one month’s fees).
Nothing in these terms limits liability for gross negligence or fraud, or any liability that cannot be limited by law.

You agree to the jurisdiction of the South African courts with jurisdiction in Gauteng, including the Magistrates’ Courts where the amount allows.
14. Changes to these terms

15. General
If any part of these terms is found to be unenforceable, the rest remains in force. If we do not enforce a right right away, we have not given it up. You may not transfer your agreement to someone else without our written consent.
